Amendment to Corporation There are times when the provisions of the Code of Regulations and/or By-Laws need to be changed or amended. An amendment may be desired by the Shareholders or Directors/Officers of the corporation if the nature of the business of the company changes over time, if new Shareholders are brought into the corporation, if Directors/Officers resign or retire, or if the Shareholders wish to set forth a new or different manner of distribution of corporate profits.
